OFFICIAL RULES OF THE “TNStars, 10 Kids, $10,000! Scholarship Giveaway”

SPONSORED BY THE TNStars® College Savings 529 Program

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED.

GIVEAWAY DESCRIPTION: The “TNStars, 10 Kids, $10,000! Scholarship Giveaway (“Giveaway”)” begins at 12:00 a.m. Central Time (“CT”) on August 1, 2022 and ends at 11:59 p.m. CT on August 31, 2022 (“Giveaway Period”). Individuals who are legal residents of the State of Tennessee who are at least twenty-one (21) years of age at the time the individual enters the Giveaway may enter for a chance to win one (1) of ten (10) grand prizes in the form of a one thousand dollars ($1,000.00) TNStars® College Savings 529 Program account contribution (“Grand Prize”) for an Eligible Child by completing the registration information on TNStars.com/scholarship for the Eligible Child. An Eligible Child is any child who is ten (10) years old or younger during the Giveaway Period. The Sponsor will randomly select ten (10) winners from the State of Tennessee to win the Grand Prize. Three (3) winners will be selected from the East Tennessee Grand Division, three (3) winners will be selected from the West Tennessee Grand Division, and four (4) winners will be selected from the Middle Tennessee Grand Division.

By entering this Giveaway, you will be providing your contact information to the TNStars® College Savings 529 Program ("TNStars®") so that you may receive future information about TNStars®. TNStars® will not sell your contact information to any third parties and you will always have the option to remove yourself from any further communication from TNStars®. Except as otherwise provided by applicable federal or state law, the information contained in an Entrant’s entry form is subject to the Public Records Act of the State of Tennessee contained in Tennessee Code Annotated, Title 10, Chapter 7, Part 5.

ELIGIBILITY: Entry in the Giveaway is limited to individuals who are both legal residents of the State of Tennessee, and who are at least twenty-one (21) years of age at the time the individual enters the Giveaway (“Entrant”). No purchase is necessary to enter or win. Void where prohibited. The following individuals are not eligible to participate in this Giveaway: TNStars® employees and Board members; Tennessee Department of Treasury employees (and their respective (i) household members and (ii) immediate family members, regardless of whether they are household members. Immediate family members means spouses, children siblings (sisters or brothers), parents, grandparents and grandchildren and their spouses. This also includes foster parents, stepparents, stepchildren, and step siblings and their spouses); TNStars® and Tennessee Department of Treasury agents, contractors and affiliates (collectively known as “Giveaway Entities”). An Entrant must open a TNStars® account on behalf of the Eligible Child in the event that the Entrant is the Giveaway winner.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Giveaway, each Entrant fully and unconditionally agrees to accept these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Giveaway.

HOW TO ENTER: Complete the online entry form at TNStars.com/scholarship. There is no requirement to open a TNStars® account to enter the Giveaway; however, the winner of the Grand Prize must establish a TNStars® College Savings 529 Program account to claim the Grand Prize. Entrants must complete all the fields on the online registration form in order to enter the Giveaway. Limit of one (1) entry per Entrant per Eligible Child. A Giveaway entry by an Entrant enables the Entrant to be considered for one (1) of the ten (10) one thousand dollars ($1,000.00) TNStars® College Savings 529 Program account contribution for the Eligible Child. If more than one entry is received for any one unique Entrant and Eligible Child, the first entry will be considered the valid entry and all subsequent entries will be disqualified. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete are void. ENTRIES MUST BE SUBMITTED BY NO LATER THAN 11:59 p.m. CT on August 31, 2022. All Entrants who do not have a TNStars® account at the time the Entrant enters this Giveaway may automatically receive a TNStars® brochure and/or e-mail communication about TNStars®.

WINNER SELECTION/VERIFICATION: The Sponsor will randomly select ten (10) winners from the State of Tennessee. Three (3) winners will be selected from the East Tennessee Grand Division, three (3) winners will be selected from the West Tennessee Grand Division, and four (4) winners will be selected from the Middle Tennessee Grand Division. The winners will be drawn on September 1, 2022. The winners will be notified by phone and/or e-mail and, if required by the Sponsor, must confirm the winner’s Giveaway eligibility by submitting documentation acceptable to the Sponsor to confirm that the winner is a Tennessee resident, was at least twenty-one (21) years of age at the time the Entrant entered the Giveaway, and that the account will be established for the Eligible Child. An Eligible Child is any child who is ten (10) years old or younger during the Giveaway Period. The Grand Prizes will be presented to the winners at an event in Nashville TN on September 13, 2022. If the selected winner does not meet the eligibility requirements, he or she will be disqualified, and an alternate winner will be randomly selected and notified according to the procedures outlined above. The odds of winning the Giveaway depend on the number of eligible entries received. The Entrant selected as the winner must acknowledge acceptance of the Grand Prize by email response or by phone within three (3) business days of the notification acknowledging he/she has been selected as the winner of the Grand Prize. Failure to acknowledge acceptance within the specified timeframe may result in forfeiture of the Grand Prize. After acknowledgement of acceptance of the Grand Prize is received from the winning Entrant, he or she will receive instructions and an enrollment form to establish the TNStars® account as well as a media release form to be completed on behalf of the Eligible Child by a parent or legal guardian.

PRIZE / APPROXIMATE RETAIL VALUE: One thousand dollars ($1,000.00) Grand Prize will be awarded to ten (10) winners from the State of Tennessee in the form of a contribution to a TNStars® account established by the respective winning Entrant for the Eligible Child. The Eligible Child will be the beneficiary on the TNStars® scholarship account. The contribution will be invested in the Age-based investment option appropriate for the beneficiary’s age.

GENERAL PRIZE RESTRICTIONS: The Grand Prize winner will be responsible for all federal, state, and local taxes applicable to acceptance and use of the Grand Prize, including income taxes, if any, and may be required to provide his/her Social Security Number or Federal Taxpayer Identification Number for tax reporting purposes. The Grand Prize winner may be required to complete a W-9 form. The Sponsor will file an IRS Form 1099 with the Internal Revenue Service for the approximate retail value of the Grand Prize. No transfer or substitution of the Grand Prize is permitted, except by the Sponsor who reserves the right to transfer or to substitute the Grand Prize, in whole or in part, for one of comparable or greater value due to unavailability for any reason, or to allow the spouse or other authorized individual of a winning Entrant to open the TNStars account for the Grand Prize contribution. These exceptions would be solely determined by the Sponsor. Any and all costs associated with acceptance and use of the Grand Prize will be the sole responsibility of the winner.

The Grand Prize contribution will be in a restricted TNStars® scholarship account that will only contain the Grand Prize contribution and will be separate from the Eligible Child’s/beneficiary’s TNStars® account if an account has been established. The funds in the TNStars® scholarship account may only be used for qualified higher educational expenses, including tuition and fees, books, room and board, and equipment or supplies required for attendance or enrollment at a qualified higher educational institution as defined in Section 529 of the Internal Revenue Code. Requests for withdrawal of the scholarship monies must be accompanied by documentation acceptable to the Sponsor that the withdrawal is for qualified higher educational expenses.

CONDITIONS / RELEASE: By participating in the Giveaway, Entrants: (a) release the Giveaway Entities, the State of Tennessee, the State Treasurer, the Tennessee Department of Treasury, and the Sponsor from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by their participation, including the unauthorized or illegal use of or access to personally identifiable or sensitive information or the acceptance, possession, use, or misuse of the Grand Prize; and (b) acknowledge that the Giveaway Entities, the State of Tennessee, the State Treasurer, the Tennessee Department of Treasury, and the Sponsor have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to the Grand Prize including, but not limited to, its quality or availability. By entering the Giveaway, each Entrant grants to the Sponsor and the Giveaway Entities the right, except where prohibited by law, to use the Entrant’s and Eligible Child’s name, likeness, picture, address (city and state), voice, biographical information, written or oral statements, for advertising and promotional purposes in promoting the Sponsor and its products, websites, and/or this Giveaway or any succeeding giveaway, in any and all media now or hereafter known throughout the world in perpetuity, without compensation unless required by law. By entering the Giveaway, Entrant certifies that Entrant is the parent or legal guardian of the Eligible Child or has obtained permission from the Eligible Child’s parent or legal guardian to enter the child in this Giveaway and share the Eligible Child’s name, likeness, picture, address (city and state), voice, biographical information, written or oral statements as provided in these Rules. Neither the Entrant, the Eligible Child or the child’s parent or legal guardian shall have any right of approval, claim to compensation, or claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of his or her or the Eligible Child’s name, picture, likeness, address (city and state), biographical information, or Official Entry Form.

Additionally, by entering this Giveaway, Entrant represents and warrants that Entrant’s entry does not violate any copyright or third party’s proprietary or intellectual property rights. If Entrant’s entry infringes upon the intellectual property right of another, Entrant will be disqualified at the sole discretion of the Sponsor. If the content of the Entrant’s entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, Entrant shall, at Entrant’s sole expense, defend or settle against such claims. Entrant shall indemnify and hold harmless the Sponsor and Giveaway Entities from and against any suit, proceeding, claim, liability, loss, damage, costs or expense, which the Sponsor or the Giveaway Entities may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right. This paragraph shall not grant the Entrant, or the Entrant’s attorneys, the right to represent the State of Tennessee; the Tennessee Department of Treasury; the Sponsor or the State Treasurer in any legal matter, as the right to represent them is governed by Tennessee Code Annotated, Section 8-6-106.

CAUTION: ANY ATTEMPT BY A GIVEAWAY ENTRANT OR ANY OTHER INDIVIDUAL TO TAMPER WITH THE RANDOM SELECTION PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Giveaway is not capable of being executed as planned, because of unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Giveaway, the Sponsor reserves the right at its sole discretion to disqualify any suspect entry or Entrant and to cancel, terminate, modify or suspend the Giveaway. In the event of any cancellation, termination or suspension, notice thereof will be posted at TNStars.com and the selection of a winner(s) may be made from among all eligible, non-suspect entries received as of the date of the termination, cancellation or suspension, as the Sponsor determines in its sole discretion. Entries not complying with all rules are subject to disqualification.

DISPUTES: Entrant agrees that: (a) any and all disputes, claims and causes of action against individuals or entities (other than the State of Tennessee; the Tennessee Department of Treasury; the Sponsor or the State Treasurer) arising out of, or connected with, the Giveaway or the Grand Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the courts of the State of Tennessee; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway but in no event attorneys’ fees; (c) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant’s rights and obligations, or the rights and obligations of the State of Tennessee, the Tennessee Department of Treasury, the Sponsor or the State Treasurer in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of Tennessee, without giving effect to any choice of law or conflict of law rules; and (d) any and all disputes, claims and causes of action against the State of Tennessee; Tennessee Department of Treasury; the Sponsor or the State Treasurer will be brought in the Tennessee Claims Commission.
